Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Ferentin platform, website, APIs, and related services (the “Service”). By accessing or using the Service, you agree to be bound by these Terms.

1. Parties and Acceptance

These Terms are between you (“Customer” or “you”) and Ferentin, Inc. (“Ferentin,” “we,” “us,” or “our”). If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. Service Description

Ferentin provides a multi-tenant AI routing, security, and integration platform that intermediates communication between users, applications, AI models, and external tools (including APIs and MCP integrations).

3. Accounts and Authentication

You are responsible for all activity conducted under your accounts and credentials. You must maintain secure authentication practices and restrict unauthorized access. Ferentin may suspend access if security risk is detected.

4. Acceptable Use

You agree not to use the Service to:

• Violate applicable law or third-party rights
• Attempt unauthorized access to systems or other tenants
• Circumvent security protections or rate limits
• Execute malicious code or automated abuse
• Process prohibited regulated data (including PHI or PCI data) unless expressly authorized

Ferentin may suspend or terminate access to prevent harm.

5. Customer Data

Customer retains ownership of all Customer Data submitted to the Service. Ferentin processes Customer Data solely to provide the Service. Ferentin does not use Customer Data to train general-purpose AI models.

6. Fees and Subscriptions

Access to certain features requires a paid subscription. Fees are billed in advance and are non-refundable except as required by law. Ferentin may change pricing upon notice. Failure to pay may result in suspension.

7. Trials and Beta Features

Ferentin may offer trial or beta features provided “as is” without warranties and may be modified or discontinued at any time. Data generated during trials may be deleted upon trial expiration.

8. Third-Party Services

The Service may interact with third-party providers, including cloud infrastructure, identity providers, and AI model providers. Ferentin is not responsible for third-party outages or behavior.

9. Availability

Ferentin will use commercially reasonable efforts to maintain service availability but does not guarantee uninterrupted operation. Maintenance or emergencies may cause downtime.

10. Intellectual Property

Ferentin owns the Service and related technology. You receive a limited right to use the Service during your subscription. Feedback may be used to improve the Service.

11. Confidentiality

Each party agrees to protect the other party's confidential information and use it only to perform obligations under these Terms.

12. Termination

Either party may terminate the Service at any time. Ferentin may terminate immediately for violation of these Terms. Upon termination, access will cease and data handling will follow the MSA and Privacy Policy.

13. Disclaimers

The Service is provided “as is” and “as available.” Ferentin disclaims all warranties to the extent permitted by law.

14. Limitation of Liability

To the maximum extent permitted by law, Ferentin's liability is limited to fees paid in the preceding 12 months. Ferentin is not liable for indirect or consequential damages.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware. Disputes will be resolved through binding arbitration, and parties waive class action participation, except where prohibited by law.

16. Changes

Ferentin may update these Terms by posting a revised version. Continued use of the Service constitutes acceptance.
